Mississippi taxes the first $10,000 of personal taxable income at 0% and the rest at 4.4%, and it does not tax retirement income at all. A sole proprietor owes no separate business tax, and a Mississippi LLC files its annual report for free. Corporations, including S corporations, pay a franchise tax on capital that is being phased out. C corporations also pay corporate income tax of up to 5%.
Personal income tax
Mississippi residents file Form 80-105, due April 15, 2026. If you will get a refund or owe nothing more, Mississippi gives you the same extra time to file that the IRS gives you. If you owe tax, pay it by April 15, 2026 with Form 80-106.
The first $10,000 of taxable income is taxed at 0% and everything above it at 4.4%. A married couple filing a combined return gets a $10,000 zero band for each spouse. State law cuts the rate in steps, down to 3% from 2030.
What sets Mississippi apart: Social Security, railroad retirement, and pensions and other retirement income from federal, state and private plans are all exempt, with no cap and no age test.

Sole proprietor
A sole proprietor with no LLC files nothing with Mississippi for the business. The annual report is only for registered entities.
Your business profit is taxed on your own Form 80-105, at the personal rates above.
Single-member LLC
Every Mississippi LLC files an annual report with the Secretary of State. An LLC formed in Mississippi files it for free. It must be filed online, between January 1 and April 15. An LLC formed in another state and registered here should check its own fee.
The LLC's profit is taxed on your own Form 80-105.
Partnership
A Mississippi partnership files Form 84-105, the pass-through entity return. The profit passes through to the partners, who report it on their own returns.
Mississippi puts the business on the hook for owners who live elsewhere. Each nonresident S corporation shareholder signs Form 84-380, or the corporation pays 5% of that shareholder's share itself. A partnership is liable for its partners' Mississippi tax unless it withholds 5% of the profit. The amount is not worked out here, because it needs each owner's residence and share.
S corporation
A Mississippi S corporation files Form 84-105, the pass-through entity return. The profit passes through to the shareholders, who report it on their own returns.
It also pays the franchise tax, which is charged on capital rather than profit, so a bad year does not remove it. For 2025 it is $0.75 per $1,000 of capital above $100,000. It falls to $0.50 in 2026 and $0.25 in 2027, and is gone from January 1, 2028.

C corporation
A C corporation files Form 83-105, the Mississippi corporate income and franchise tax return. The income tax on Mississippi taxable income is 0% on the first $5,000, 4% on the next $5,000 and 5% on everything above $10,000.
A corporation selling into other states counts only its Mississippi share. Retail, rental, service and wholesale businesses measure it by Mississippi sales over total sales. Manufacturers and some other industries use formulas that also count property and payroll.
